Flaherty Sensabaugh Bonasso attorneys Jim Lane and Eric Johnson served as debtor’s counsel to a regional retail business in a chapter 11 bankruptcy. The debtor had been mired in class action litigation for 10 years. Total claims against the company exceeded $170 million. Though the bankruptcy was vigorously contested, the bankruptcy court confirmed the debtor’s plan of reorganization six months after the case was filed. The debtor prevailed in all appeals. Louisville, Kentucky-based ScionHealth has entered into a definitive agreement to acquire Dallas-based Cornerstone Healthcare Group, an organization with 16 locations of specialty hospitals, senior living facilities, and a behavioral health facility. Flaherty attorney Bob Coffield is managing certificate of need and regulatory approvals for their Huntington, West Virginia, location. GWW team, a TELFA member firm, handled the sale of the shares of ADOB, Poland’s largest producer of foliar fertilizers and exporter to more than 80 countries worldwide, to Nouryon Chemicals International BV, a world leader in specialty chemicals. Barclay Damon partner David Luzon was successful in assisting client Eastern Niagara Hospital with a charitable fund whose purpose was restricted by the donor and could no longer be fulfilled. Hinckley Allen represented its long-time client, Brinker Capital, a registered investment adviser, and its affiliated broker-dealer, in their sale to a new investment partnership controlled by funds affiliated with Genstar Capital Partners, a California-based private equity firm, and TA Associates Management, a Boston-based firm. William Cornachio and Michael Twersky of Rivkin Radler closed on a $50 million CMBS loan received from Citi Real Estate Funding on behalf of the firm’s client. The loan is secured by mortgages on 19 multi-family residential properties located in Brooklyn Heights, Columbia Heights and the Upper West Side, all bearing New York City landmark status. Hinckley Allen represented Silver Buckle Capital in its acquisition of Ray-Jurgen, a Connecticut-based provider of commercial vehicle installation services, repair and maintenance services, vehicle lift inspection, and vehicle maintenance facility design. Established in 1976, Ray-Jurgen is one of the largest commercial vehicle equipment providers in the Northeast. Following a multi-year effort, attorneys Caleb Knight and Bob Coffield successfully argued for the approval of a certificate of need exemption for War Memorial Hospital, Inc. to acquire and operate an MRI scanner at Valley Health Spring Mills in Martinsburg, West Virginia.
